Andrew is a founding partner of the firm, and has practiced law in Atlanta for over twenty-five years.  After spending the first twelve years of his career with Morris, Manning & Martin, LLP and Chamberlain, Hrdlicka, White, Williams & Martin, LLP, two large Atlanta law firms, Andrew founded a firm with two partners and grew it to fifteen attorneys.   Andrew answered his entrepreneurial calling again in 2013 by joining with Carter L. Stout, a fellow Rotarian to form Stout Kaiser.

Andrew practices in the areas of corporate law, including entity organization, mergers and acquisitions and general business matters, commercial real estate and estate planning.  Andrew provides dedicated legal counsel to entrepreneurs, professionals and businesses in a variety of industries.  Andrew handles a broad range of transactions, including asset sales, mergers, stock acquisitions and joint venture agreements.  Representative clients include dental and medical professionals, restaurants (including franchisors and franchisees), food distributors, motor vehicle dealerships, construction companies and marketing and advertising firms.  In addition to closing particular transactions, Andrew counsels clients on a continuing basis regarding employment matters, including restrictive covenants, protection of proprietary information and equity incentive plans, shareholder and operating agreements, and general business matters.  Andrew has extensive experience in areas of particular importance to owners of family businesses, including succession planning and minimizing estate taxes.

In the area of commercial real estate, Andrew represents developers and lenders in a wide variety of real estate transactions, including land acquisitions and financing for residential, commercial, industrial and mixed-use projects.  Andrew represents investors and businesses in purchasing office buildings and other commercial properties, and he handles §1031 exchange transactions frequently.  Andrew also represents landlords and tenants in negotiating office, retail and industrial property leases.

Andrew represents individuals in developing and implementing estate plans, including the preparation of wills, trusts, powers of attorney and advance directives for health care.  Andrew’s estate planning clients range from young couples who need basic wills establishing a trust for the protection of their minor children to wealthy couples and individuals with substantial estate tax exposure.  Andrew also handles the probate of wills and administration of estates, as well as all manner of fiduciary matters.  Andrew has authored articles in trade publications and spoken to various business and civic groups regarding estate planning and asset protection.
